Terms & Conditions
Welcome to Tyre World Namibia. These Terms and Conditions govern all trade, wholesale, and supply transactions conducted through Tyre World Namibia (including its parent company, subsidiaries, online portal, and trade accounts). By applying for a trade account, submitting a purchase order, or accepting delivery of goods, you ("the Buyer") agree to be legally bound by these terms.
1. Trade-Only Business Policy
1.1 B2B Wholesale Focus: Tyre World Namibia operates strictly as a business-to-business (B2B) wholesale distributor. Goods are supplied exclusively to approved trade accounts, fitment centers, automotive retailers, registered commercial fleet operators, and authorized resellers.
1.2 Exclusion of Public Sales: We do not sell directly to the general public or end-user retail consumers.
1.3 Account Approval: All trade account applications are subject to business registration validation, trade reference checks, and credit approval at our sole discretion.
2. Quotations, Pricing & Value Added Tax (VAT)
2.1 Pricing Variations: All price lists, estimates, and formal quotations issued by Tyre World Namibia are subject to change without prior notice based on stock availability, foreign exchange rate variations, or manufacturer price adjustments.
2.2 Value Added Tax (VAT): Unless explicitly indicated otherwise, all quoted wholesale prices exclude Namibian Value Added Tax (VAT). Applicable VAT (15% in accordance with the Namibian Value-Added Tax Act 8 of 2000) will be added to all official Tax Invoices.
2.3 Final Total: Order totals, including applicable delivery fees, transport surcharges, and VAT, will be finalized upon order processing and reflected on the official Tax Invoice.
3. Orders, Payment Terms & Retention of Title
3.1 Order Confirmation: Placing an order constitutes an offer to purchase. Tyre World Namibia reserves the right to accept, adjust, or decline any order based on stock levels or credit standing.
3.2 Payment Terms: Payment shall be rendered in accordance with the approved account terms assigned to your business (e.g., Cash-on-Delivery [COD], 30-day approved trade credit facility, or electronic funds transfer [EFT] prior to dispatch). Late payments may attract statutory interest charges.
3.3 Retention of Title (Ownership): All goods delivered remain the legal and equitable property of Tyre World Namibia until full payment of the purchase price, including taxes and logistics costs, has been received in cleared funds. Until title passes, the Buyer holds the goods on a fiduciary basis and must store them clearly identifiable as the property of Tyre World Namibia.
4. Delivery, Risk & Logistics
4.1 Delivery Timelines: Delivery schedules and dispatch timeframes are estimates only. While Tyre World Namibia endeavors to meet all agreed dispatch timelines across Namibia, we assume no liability for delays caused by third-party freight couriers, road conditions, or unforeseen logistical delays.
4.2 Transfer of Risk: Risk of loss, damage, or destruction of the goods transfers to the Buyer immediately upon physical delivery to the Buyer's designated premises or upon handover to the Buyer’s nominated transport provider.
4.3 Discrepancies & Shortages: The Buyer must inspect all deliveries upon receipt. Any shortages, incorrect items, or external box damage must be endorsed on the delivery note/waybill and reported in writing to Tyre World Namibia within two (2) business days of delivery.
5. Returns, Defect Claims & Tyre Warranties
5.1 Return Policy: Returns are strictly limited to defective merchandise or dispatch errors committed by Tyre World Namibia. No returns will be accepted without prior written Return Material Authorization (RMA) from your account manager.
5.2 Return Window & Condition: Authorized returns must be lodged within fourteen (14) calendar days of delivery. Returned tyres must be unmounted, unused, clean, and in original salable condition.
5.3 Tyre Warranty Claims: Claims concerning latent manufacturing defects or structural failures will be evaluated strictly in accordance with the specific tyre manufacturer's technical warranty policy and inspection procedures. Normal tread wear, road hazard damage (punctures, impacts, cuts), improper inflation, alignment failure, or vehicle overload are explicitly excluded.
5.4 Restocking Fee: Non-defective stock returned at Tyre World Namibia’s sole discretion may incur a handling and restocking fee of up to 15%.
6. Limitation of Liability
6.1 Consequential Damages: To the maximum extent permitted by Namibian law, Tyre World Namibia shall not be liable for any indirect, incidental, special, punitive, or consequential damages (including loss of profits, downtime, labor costs, vehicle damage, or loss of business opportunity) arising out of the supply, performance, or use of any product.
6.2 Maximum Liability: In all events, Tyre World Namibia’s total aggregate liability shall be strictly limited to the net invoice value of the specific products supplied that gave rise to the claim.
7. Governing Law & Legal Jurisdiction
7.1 Namibian Law: These Terms and Conditions shall be governed by, construed, and enforced in accordance with the legal framework of the Republic of Namibia.
7.2 Jurisdiction: The Buyer agrees to submit to the exclusive jurisdiction of the competent courts of the Republic of Namibia (including the High Court of Namibia, Windhoek Main Division) for the resolution of any dispute arising from or related to these terms or trade transactions.
